Constitution
Article I -- Name
The name of this organization shall be the West Virginia Council of Teachers of Mathematics.
Article II -- Purpose and Function
The purpose of the West Virginia Council of Teachers of Mathematics shall be to encourage an active interest in mathematics and to improve the teaching of mathematics at all levels in schools -- elementary schools, middle/junior high schools, and senior high schools, and to improve the teacher training program in colleges.
Said organization is organized exclusively for educational and scientific purposes, including, for such purposes, the making of distribution to organizations under Section 501 (c) (3) of the Internal Revenue Code or corresponding section of any future Federal Tax Code. It may transact any or all lawful educational business for which a non-stock, nonprofit organization may be formed in West Virginia.
The organization is not formed for pecuniary or financial gain, and no part of the assets, income, or profit of the organization is distributed to or inures to the benefit of its directors or officers, except to the extent permitted under the laws of the state of West Virginia.
No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in, any political campaign on behalf of any candidate for public office.
The organization shall not carry on any other activities not permitted to be carried on by an association exempt from federal income tax under Section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future tax code.
Article III -- Membership and Dues
a. Active Members Any person may become an active member by paying annual dues, payable at any meeting of the Council or by mail. The amount of the dues shall be determined by the executive committee. Membership gives one the right to vote and to hold office and entitles one to receive any newsletter or communication of the Council.
The membership of the Council shall be defined as the period of time from July 1 extending through June 30.
b. Associate Members Any college or university student may become an associate member by paying annual dues for a special fee specified by the executive committee which shall entitle him or her to any Newsletter, Journal, and other communication of the organization.
Article IV -- Officers and Executive Committee
Officers of this Council should be members of The National Council of Teachers of Mathematics. The officers of the Council shall be: President, President Elect/Immediate Past-President, Vice President elementary schools, Vice-President middle/junior high schools, Vice-President senior high schools, Vice-President colleges, Secretary, Treasurer, Historian, NCTM Representative, the Government Relations Representative, and two Members-at-Large.
The Executive Committee shall include its officers, the West Virginia Department of Education Coordinator of Mathematics, the State Math Field Day Director, the editor of the Newsletter, and the webmaster for http://www.wvctm.org.
Article V -- Elections and Duties of Officers
Section I. The officers, with the exception of the treasurer who shall be appointed by the President and with the approval of the Executive Committee, shall be elected by the active members by ballot on the day of the annual business meeting.
Section II. (a) The President shall preside at all meetings of the Council and of the Executive Committee. He/she shall appoint, with the approval of the Executive Committee, members of all committees, the editor of the Newsletter, and the editor of the Journal.
(b) The President-Elect shall serve in the absence of the President.
(c) The Secretary shall keep accurate records of all proceedings and maintain an updated list of names of members.
(d) The Treasurer shall receive all money and disburse it at the direction of the Executive Committee.
(e) The Vice-Presidents shall represent their respective groups and shall assist in the promotion of the work of the Council among the teachers of their division.
(f) The Historian shall maintain an up-to-date written history of all activities of the WVCTM.
(g) The NCTM Representative shall promote the work of the NCTM in West Virginia by advertising its meetings and services, securing members and contributors to the NCTM publications, and gathering information for NCTM.
(h) The Government Relations Representative shall be the liaison with the state and federal government.
(i) The Members-at-large shall be assigned duties by the President.
(j) The Executive Committee shall carry out the directions of the Council as determined at the Annual Meeting. It shall determine the time and place of the Annual Meeting; approve the appointment of committee members, the editor of the Newsletter, and the webmaster for http://www.wvctm.org ; fill all vacancies which occur; and in general, govern the Council between annual meetings. It shall meet on call of the President or by request of a majority of the members of the committee.
Section III. A quorum of the Executive Committee shall be defined as a majority of the members of the Committee. All meetings are open to the public.
Article VI -- Terms of Office
All the officers shall be elected for a term of two years, except for the President-Elect who shall serve one year as President-Elect, two years as President and one year as the Immediate Past-President. Officers shall take office on July 1 of the year in which they are elected.
The term of service of the editor of the Newsletter, the webmaster for http://www.wvctm.org, and Treasurer shall coincide with the term of office of the President.

Article VII -- Affiliation
The West Virginia Council of Teachers of Mathematics shall be an affiliate of the National Council of Teachers of Mathematics.
Article VIII -- Meetings
The West Virginia Council of Teachers of Mathematics shall meet annually at a time and place determined by the Executive Committee.
Article IX -- Committees
All committees will be appointed by the President with the approval of the Executive Committee. Standing committees shall include Constitution, Program, Membership, Publication, and Nominating.
Ad hoc committees appointed by the President may include: Curriculum, Publicity, Social, Recognition of Students, and any other deemed necessary and advisable by the Executive Committee.
Article X -- Amendments
Amendments to the constitution shall be submitted in writing to the Executive Committee at least three months previous to the Annual Meeting and to the total membership one month previous to the Annual Meeting. The amendment shall be ratified if it receives an affirmative vote of 2/3 of the active members present at the Annual Meeting following the communication to the Executive Committee and total membership.
Article XI -- Parliamentary Authority
Roberts’ Rules of Order Revised shall govern the business meetings of the Council in all cases to which they are applicable.
Article XII -- Dissolution
If at any time the organization shall cease to carry out the purposes as herein stated, all assets and property held by it, whether in trust or otherwise, shall after the payments of its liabilities, be paid over to an organization, selected by the final Executive Committee of the West Virginia Council of Teachers of Mathematics, which has similar purposes and has established its tax-exempt status under Section 501 (c) (3) of the Internal Revenue Code of 1954 as now enacted or as it may hereafter be amended, and such assets and property shall be applied exclusively for such charitable, scientific, and educational programs.

Amendment Passed March 17, 2000:
Requests for endorsement and/or sponsorship by the WVCTM should be submitted in writing to members of the Executive Committee at any regular meeting or by mail prior to the need. The endorsement and/or sponsorship may be granted if a majority of the Executive Committee votes in the affirmative.
